Terms & Conditions

Effective October 13, 2026 · Last updated October 13, 2026

These Terms & Conditions ("Terms") govern your access to and use of the websites, content, chat and voice demonstrations, downloads and communications (together, the "Site") operated by ALIS Technology and its affiliates ("ALIS Technology," "ALIS," "we," "us" or "our"). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.

1. Informational purposes only

The Site is provided for general information about ALIS services. Nothing on the Site is professional, legal, medical, compliance, financial or engineering advice, and nothing on the Site creates a client, consulting or fiduciary relationship. Any services are provided only under a separate written agreement signed by ALIS ("Service Agreement"). If the Site conflicts with a Service Agreement, the Service Agreement controls.

2. Statistics, case studies and examples

Statistics, metrics, case studies, testimonials, timelines, pricing indications and outcomes are approximate, may be based on selected engagements or third-party sources, and are illustrative only. They are not guarantees or promises of any result. Example conversations and scenarios use fictional people. Results vary, and past performance does not predict future results.

3. No offer; changes

Descriptions of services, features, integrations, certifications-alignment and availability may change at any time without notice and do not constitute an offer capable of acceptance. We may modify, suspend or discontinue any part of the Site, and may update these Terms at any time by posting a revised version. Continued use after an update means you accept the revised Terms.

4. Acceptable use

You agree not to: (a) use the Site unlawfully or to infringe anyone's rights; (b) probe, scan, test the vulnerability of, or breach any security or authentication measure; (c) interfere with or overload the Site; (d) scrape, harvest or copy content by automated means, including to train machine-learning models, without our prior written consent; (e) reverse engineer any part of the Site; (f) impersonate any person; or (g) submit malicious code. We may block access or take legal action for any violation.

5. Do not submit protected information

Do not submit protected health information (PHI), student education records, payment card data, credentials or other sensitive information through Site forms, chat or email. The Site is not intended for such data and ALIS has no obligation under HIPAA, FERPA or similar laws for information you submit in violation of this section. Regulated data is handled only under a signed Service Agreement and, where applicable, a Business Associate Agreement.

6. Intellectual property

The Site and all content, designs, text, graphics, software, methodologies, infographics and trademarks on it are owned by ALIS or its licensors and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your internal evaluation of ALIS services. No other right is granted. Third-party names and logos belong to their owners; their mention does not imply endorsement or partnership unless expressly stated.

7. Submissions and feedback

If you send us ideas, suggestions or feedback, you grant ALIS a perpetual, irrevocable, worldwide, royalty-free right to use them for any purpose without obligation to you. Information you submit through contact forms is handled as described in our Privacy Policy.

8. Third-party links and services

The Site may link to or embed third-party websites, videos, scheduling tools or services. ALIS does not control and is not responsible for them, their content or their privacy practices. Your use of them is at your own risk and subject to their terms.

9. Disclaimer of warranties

The Site and all content are provided "as is" and "as available," without warranties of any kind, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness or uninterrupted, error-free or secure operation. ALIS does not warrant that the Site is free of viruses or harmful components.

10. Limitation of liability

To the fullest extent permitted by law, ALIS and its affiliates, officers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, arising out of or related to the Site, even if advised of the possibility. ALIS's total liability for all claims relating to the Site will not exceed one hundred U.S. dollars (US $100).

11. Indemnification

You will defend, indemnify and hold harmless ALIS and its affiliates, officers, employees and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from your use of the Site, your submissions, or your violation of these Terms or any law or third-party right.

12. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. Any dispute arising from the Site or these Terms will be resolved by binding individual arbitration in Chicago, Illinois, under the Commercial Rules of the American Arbitration Association, except that ALIS may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or the security of the Site. You waive any right to participate in a class action or class-wide arbitration. Any claim must be brought within one (1) year after it arises or it is permanently barred.

13. General

These Terms, together with our Privacy Policy, are the entire agreement between you and ALIS regarding the Site. If any provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; ALIS may assign them without restriction. Sections that by their nature should survive termination will survive.
